TERMS AND CONDITIONS FOR NOOK AFFILIATE PROGRAM

These Terms and Conditions (“Terms”) govern participation in the NooK Affiliate Program (“Program”) operated by My NooK Pty Ltd (“NooK”, “we”, “us”, “our”). By applying to or participating in the Program, you (“Affiliate”, “you”, “your”) agree to be bound by these Terms.

This Program is governed by the laws of New South Wales, Australia.

1. Program Overview

The NooK Affiliate Program enables approved affiliates to earn commission on eligible sales generated through a unique affiliate tracking link issued by NooK.

Affiliates may promote NooK products using their unique link across approved platforms, subject to these Terms.

2. Eligibility

To participate in the Affiliate Program, you must:

  • Be at least 18 years of age.
  • Provide accurate and complete registration details.
  • Comply with Australian taxation requirements.
  • Be approved by NooK following submission of your application

Submission of an application does not guarantee acceptance. We reserve the right to approve or decline any application at our sole discretion.

3. Application & Approval

To join the Program, you must apply via our website.

All applications are reviewed to ensure alignment with NooK’s brand values and positioning. If approved, you will receive:

  • Access to your affiliate dashboard
  • A unique affiliate tracking link
  • Payment setup instructions

You must not promote yourself as a NooK affiliate until you have received written approval.

4. Commission Structure

Approved affiliates will earn commission on eligible sales generated through their unique affiliate link. Your Commission percentages will be advised on acceptance of your Creator Affiliate Application.

Commission applies only to completed purchases made through your unique affiliate link within a 30-day tracking window from the customer’s initial click.

Commission is calculated on the final purchase price paid, excluding:

  • Shipping fees
  • Gift cards
  • Taxes (including GST)
  • Refunded, cancelled or fraudulent transactions

5. Tracking & Attribution

Affiliate sales are tracked using browser cookies within a 30-day attribution window.

If a customer clears cookies, uses a different device, or completes a purchase outside the tracking window, the sale may not be attributed to the affiliate. NooK is not responsible for tracking failures due to technical issues outside our reasonable control.

Where multiple affiliate links are clicked, commission will be attributed in accordance with our tracking platform’s standard attribution model.

6. Payment Terms

  • Commissions are paid monthly in arrears.
  • Payment will only be made on confirmed, fulfilled orders.
  • Orders that are returned, refunded, cancelled or identified as fraudulent will not qualify for commission.
  • Affiliates are responsible for providing accurate payment details.
  • Affiliates are responsible for their own tax obligations, including income reporting and GST where applicable.

No commission has cash value until paid and cannot be transferred or assigned.

7. Content & Promotion Guidelines

Affiliates must:

  • Share NooK in a truthful, authentic and non-misleading manner
  • Comply with the Australian Consumer Law (ACL), including rules relating to misleading or deceptive conduct
  • Clearly disclose affiliate relationships in accordance with ACCC guidelines (e.g. “affiliate link”, “paid partnership”, or similar clear disclosure)
  • Ensure all claims about NooK products are accurate and not exaggerated

Affiliates must not:

  • Make false or misleading statements
  • Use spam, unsolicited messaging, or deceptive marketing tactics
  • Promote discounting or offers that have not been authorised by NooK
  • Bid on NooK branded keywords in paid search advertising without written consent
  • Impersonate NooK or represent themselves as employees of NooK

NooK reserves the right to request removal or amendment of any content that does not align with brand guidelines or legal requirements.

8. Collaboration Deliverables

Where an affiliate is also engaged as a collaborator under a separate agreement:

  • Initial required content deliverables must be posted without affiliate links unless otherwise agreed in writing.
  • Affiliate links may only be used in additional content after required deliverables have been completed.
  • NooK may repost collaboration content to its own channels without affiliate links.

9. Intellectual Property

All NooK trademarks, logos, imagery, copy and brand assets remain the property of My NooK Pty Ltd.

Affiliates are granted a limited, revocable, non-exclusive licence to use approved NooK brand assets solely for the purpose of participating in the Program.

This licence may be withdrawn at any time.

10. Prohibited Conduct

We reserve the right to suspend or terminate your participation if we reasonably believe you have:

•    Breached these Terms
•    Engaged in fraudulent, misleading or unethical behaviour
•    Attempted to manipulate tracking, cookies or commission systems
•    Purchased through your own affiliate link (self-referrals are not permitted)

No commission will be payable on self-referrals or purchases made for your own household.

11. Variation & Termination

NooK may modify, suspend or terminate the Program at any time. This includes changes to:

•    Commission rates
•    Tracking windows
•    Payment structures
•    Eligibility criteria

Where reasonably possible, we will provide notice of material changes.

Affiliates may terminate participation at any time by providing written notice.

12. Limitation of Liability

To the maximum extent permitted by law, NooK excludes all liability for any indirect, incidental or consequential loss arising from participation in the Program.

Nothing in these Terms excludes rights that cannot be excluded under the Competition and Consumer Act 2010 (Cth) or other applicable law.

13. Privacy

By participating in the Program, you acknowledge that we may collect and use your personal information in accordance with our Privacy Policy.

14. Governing Law

These Terms are governed by the laws of New South Wales, Australia.

You submit to the exclusive jurisdiction of the courts of New South Wales.
